TERMS OF SERVICE

These Terms of Service ("Terms") form a legally binding agreement between you ("User" or "you") and SAN GLOBAL TRADE, a company incorporated in Malaysia ("Company", "we", "our", or "us"), governing your access to and use of the website onlinetopupchina.com and any related applications, content, products, and services we provide (collectively, the "Service"). By accessing or using the Service in any manner, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use the Service.

1. DEFINITIONS

1.1 "Digital Goods" means any prepaid credit, top‑up, e‑voucher, game currency, code, or other intangible product delivered electronically through the Service.

1.2 "Malaysian Law" means all statutes, regulations, subsidiary legislation, and directives in force within Malaysia, including but not limited to the Consumer Protection Act 1999, the Contracts Act 1950, and the Communications and Multimedia Act 1998.

1.3 "Force Majeure Event" has the meaning given in Clause 18.

2. ELIGIBILITY

2.1 You must be at least eighteen (18) years of age or the age of majority in your jurisdiction—whichever is higher—and have the legal capacity to enter into contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2.2 If you access the Service on behalf of a business or other legal entity, you represent and warrant that you are authorised to bind that entity to these Terms.

3. ACCOUNT REGISTRATION & SECURITY

3.1 Certain features of the Service may require you to create an account. You agree to provide accurate, current, and complete information and to update it promptly to maintain its accuracy.

3.2 You are solely responsible for safeguarding your login credentials. You accept all responsibility for any activities that occur under your account, whether or not authorised by you.

3.3 We reserve the right to suspend or terminate any account that we reasonably believe is in breach of these Terms or Malaysian Law.

4. PRODUCT INFORMATION & AVAILABILITY

4.1 All descriptions, images, references, features, content, specifications, and prices of Digital Goods are subject to change at any time without notice.

4.2 We reserve the right to limit, reject, or cancel orders at our sole discretion—including after an order is placed—if we suspect fraud, unauthorised activity, or errors in listing or pricing.

5. PRICES & PAYMENT

5.1 Prices are quoted in the currency displayed at checkout and are exclusive of any applicable taxes, duties, or charges unless expressly stated otherwise.

5.2 By submitting an order, you authorise the Company (or its payment processor) to charge the full amount to your chosen payment method. All payments are final when confirmed as received by us.

5.3 You represent and warrant that you are authorised to use the payment method provided and that the information supplied is accurate.

6. DELIVERY OF DIGITAL GOODS

6.1 Delivery occurs when we transmit the Digital Goods (e.g., redemption code or credit) to the email address or account details you provided, or when we make the Digital Goods otherwise available for access or download.

6.2 Risk of loss and title for Digital Goods pass to you upon delivery. We shall not be liable for any loss, theft, or misuse after delivery is completed.

7. NON‑REFUNDABLE & NON‑RETURNABLE POLICY

7.1 All Digital Goods sold via the Service are strictly non‑refundable and non‑returnable. Once an order is processed and the Digital Goods are delivered, no cancellations, exchanges, credits, charge‑backs, or refunds will be permitted under any circumstances, including but not limited to:
  (a) mistaken purchase;
  (b) accidental activation or redemption;
  (c) incompatibility with third‑party platforms, devices, or accounts;
  (d) dissatisfaction with the Digital Goods or change of mind.

7.2 By placing an order, you expressly waive any statutory or common‑law right to withdraw, rescind, or seek a refund except where mandatory under Malaysian Law.

8. PROHIBITED CONDUCT

You agree NOT to:

(a) use the Service for any unlawful purpose or in violation of Malaysian Law or the laws of any jurisdiction where you are located;

(b) access, acquire, or attempt to acquire Digital Goods through automated means, fraud, hacking, or circumvention of security measures;

(c) reproduce, distribute, publicly display, reverse engineer, decompile, disassemble, or create derivative works of any part of the Service;

(d) interfere with or disrupt the integrity or performance of the Service or any data contained therein;

(e) use any trademark, logo, or proprietary information of the Company without our express written consent.

9. INTELLECTUAL PROPERTY

9.1 All intellectual‑property rights in and to the Service—including all software, content, trademarks, and trade dress—are owned by or licensed to the Company and are protected by Malaysian and international intellectual‑property laws.

9.2 Except for the limited, revocable licence to access and use the Service in accordance with these Terms, no rights are granted to you by implication, estoppel, or otherwise.

10. THIRD‑PARTY SERVICES & CONTENT

Certain Digital Goods or portions of the Service may integrate, or require the use of, third‑party platforms, services, or content. The Company is not a party to any agreement between you and such third parties and shall bear no liability for their acts, omissions, availability, or performance.

11. DISCLAIMER OF WARRANTIES

11.1 The Service and all Digital Goods are provided "as is" and "as available" without warranty of any kind—express, implied, or statutory—including any warranty of merchantability, fitness for a particular purpose, title, non‑infringement, error‑free operation, or uninterrupted availability.

11.2 We do not warrant that the Service or Digital Goods will meet your requirements, be compatible with your hardware or software, or be free from defects, viruses, or other harmful components.

12. LIMITATION OF LIABILITY

12.1 To the fullest extent permitted by Malaysian Law, in no event shall the Company, its directors, officers, employees, or agents be liable to you or any third party for any indirect, incidental, special, exemplary, punitive, or consequential damages, or for any loss of profits, revenue, goodwill, data, or business interruption, arising out of or in connection with the Service, Digital Goods, or these Terms, whether based on contract, tort (including negligence), strict liability, or any other legal theory—even if advised of the possibility of such damages.

12.2 Without prejudice to Clause 12.1 and to the extent not prohibited by Malaysian Law, the Company’s total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the amount actually paid by you to the Company for the Digital Goods giving rise to the claim during the six (6) months immediately preceding the event giving rise to liability.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Company and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your breach of these Terms; or (c) your violation of any law or the rights of any third party.

14. SUSPENSION & TERMINATION

14.1 We reserve the right, without notice and in our sole discretion, to suspend or terminate your access to the Service or any part thereof, and to block or prevent future access, if we believe you have violated these Terms, Malaysian Law, or any applicable policy.

14.2 Upon termination, all rights granted to you under these Terms will immediately cease. Clauses that by their nature should survive termination shall survive, including Clauses 7, 9, 11, 12, 13, 17, and 18.

15. MODIFICATIONS TO TERMS OR SERVICE

15.1 We may revise these Terms at any time by posting the updated version on the Service. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

15.2 We may modify, suspend, or discontinue any aspect of the Service at any time without liability.

16. GOVERNING LAW & JURISDICTION

These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict‑of‑law principles. You irrevocably submit to the exclusive jurisdiction of the courts of Malaysia (with primary venue in Kuala Lumpur) for the resolution of any such dispute.

17. DISPUTE RESOLUTION

17.1 You agree to attempt in good faith to resolve any dispute or claim arising out of or relating to these Terms by negotiation with the Company for at least thirty (30) days before commencing court proceedings.

17.2 Nothing in this Clause 17 shall prevent either party from seeking interim injunctive relief.

18. FORCE MAJEURE

The Company shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, flood, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials (each, a "Force Majeure Event").

19. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be struck and the remaining provisions shall remain in full force and effect.

20. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any additional policies or terms referenced herein, constitute the entire agreement between you and the Company regarding the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written.
